If either party desires to exchange confidential information, such exchange will be governed by the Non-Disclosure Agreement entered into between the parties (“NDA”). Your Agreement should include information like: the contact information of both parties; the state whose laws will govern the agreement; the subject and dates of any previous negotiations; the agreed-upon terms, including payment; when the agreement goes into effect; and when it will end. With a Letter of Agreement in place, you'll know what to expect—and what's expected of you. You can use a Letter of Agreement to start negotiations, or you may want to use it instead of a more formal business contract. Either way, a Letter of Agreement sets out the terms of your working relationship. After inputting the required information, the Agreement is printed out and signed by both Parties, and then kept on file by both Parties for the duration of the Agreement as well as for a reasonable period of time thereafter. Once the Parties have completed the Agreement, they can be confident that the Marketer can focus on marketing the Client's products and facilitating sales to new customers. Each payment shall be applied firstly to past due interest and secondly on account of the principal amount due and owing.
