Assignment of Partnership Interest Style 3

This Agreement and Assignment of Partnership Interest (this “Agreement”) is made and entered into as of, 200 (the “Effective Date”), by and among Graham Weston, a individual (“Assignor”), Beaulieu River 2005, LP, a Texas limited partnership (the “Partnership”), Knightsbridge, LC, a Texas limited liability company (the “General Partner”) and (“Assignee”), and each of the above parties may be referred to in this Agreement as a “Party” or collectively as the “Parties”. A patent is a collection of exclusive rights over inventions awarded to inventors as appreciation of their hard work. Patent assignment is possible for the complete set of rights or only a part interest. (1) The assets shall first be applied to the payment of all the debts of the partnership (other than any loans or advances that may have been made to the partnership by Partners) including the expenses of winding up partnership's business, liquidation and dissolution of the partnership. A reasonable time shall be allowed for the orderly liquidation of the assets of the partnership and the discharge of liabilities to creditors so as to enable the then General Partners to minimize the normal losses attendant upon a liquidation. Assignor represents and warrants that his/her interest in the contract subject to this assignment is free of liens, claims or encumbrances of any kind by third parties. Assignee has been advised to rely on its own professional accounting, tax, legal and financial advisors with respect to an investment in the Partnership, tax, preference rights and other considerations involved with respect to the Assignment and has relied on such advisors. Assignee acknowledges further that this Agreement has been reviewed by its independent legal counsel.

Recognition of gain under this rule also doesn't apply to a distribution of unrealized receivables or substantially appreciated inventory items if the distribution is treated as a sale or exchange, as discussed earlier under Certain distributions treated as a sale or exchange. Courts will not enforce a contract to assign an expectancy unless there is a valuable consideration. For example, under a settlement of property the respondent "the son" would have been entitled to an equal portion of properties along with his other siblings which was gained in a settlement by his mother. This portion was only his when allocated to him at his mothers discretion. Prior to this allocation being made, the respondent allotted his benefit to trustees for a voluntary settlement. Courts will not enforce a contract to assign an expectancy unless there is a valuable consideration. For example, under a settlement of property the respondent "the son" would have been entitled to an equal portion of properties along with his other siblings which was gained in a settlement by his mother.
