Hi, My wife & setting up a cleaning business. My wife & I will manage all business operations & will hire employees to handle the labor (cleaning) part. Any action which may be taken at a meeting of Members may be taken without a meeting by written action signed by all Members. Once the trip is complete the driver will give the printed document to the customer as a way of showing the paid fare. Let’s take an example of a 4 member LLC for the purpose of real estate investing. If 2 Members (Steve and Susie) are responsible for the funding and don’t want to run the business, all the Members can agree to appoint the other 2 Members (Bob and Barbie) as the Managers.

Amendment to LLC Operating Agreement Style 28

BY THIS INSTRUMENT, dated as of this 27th day of August, 2008, the Operating Agreement of Boise Paper Holdings, L.L.C., a Delaware limited Liability company (the “Company”) dated February 22, 2008 (the “Operating Agreement”) is amended as follows. Once the document is signed by the members of the limited liability company, it acts as an official contract binding them to its terms. Many states in the United States require an LLC to have an operating agreement. While there is an enormity of material available online to help you get started with constructing an operating agreement, much of it free, it is important to always consult with an attorney and a financial advisor before signing an operating agreement or any other contract or agreement that may affect your business, income, or liability. Most states do not require operating agreements. However, an operating agreement is highly recommended for multi-member LLCs because it structures your LLC's finances and organization, and provides rules and regulations for smooth operation.
